Terms of Service
Last updated: October 6, 2026
1. Agreement
These Terms of Service ("Terms") are an agreement between you and Ray Fernando LLC, a California limited liability company ("we", "us"). We run Ray Transcribes (the "Service"). The Service includes the website at raytranscribes.com, the app at app.raytranscribes.com, and the API at api.raytranscribes.com. By creating an account, buying a plan, or using the app or the API, you agree to these Terms. If you don't agree, don't use the Service. Our Privacy Policy explains how we handle your information.
If you have a separate written agreement with us, such as an enterprise agreement, that agreement controls where it conflicts with these Terms.
2. The Service
Ray Transcribes turns audio and video into transcripts, subtitles, and optional chapters, and lets you edit and download them. It offers two levels of transcription, Standard and Premium. Automated speech-recognition and AI systems make the transcripts, so they can contain mistakes. Review a transcript before you rely on it, especially where accuracy matters.
3. Your account
- You must be at least 18 years old to use the Service.
- Give us accurate information and keep it up to date.
- Keep your sign-in details and API keys secret. You're responsible for everything done with your account and your keys.
- Don't share your account. One person or organization may not hold more than one account without our permission.
4. Plans, billing, and automatic renewal
- Plans. We sell the Starter plan, which includes Standard transcription, and the Creator plan, which adds Premium. Each is billed monthly or yearly. The pricing page and the checkout page show each plan's current price and what it includes.
- Automatic renewal. Your plan renews automatically at the end of each monthly or yearly billing period. We charge your card the plan's price at that time for the next period, less any credit on your account and any promotion code that still applies. This continues until you cancel.
- Payment. Prices are in US dollars. We take card payments through our payment processor, on its payment page. You can enter a promotion code there.
- Minutes. Each plan includes a set number of transcription minutes a month, shown on the pricing page. On monthly billing, your minutes reset when each billing period starts. On yearly billing, they reset once a month, on the same day of the month as your billing date, or the last day of a shorter month. We count that day in Coordinated Universal Time (UTC). Unused minutes don't carry over. We won't start a transcription that needs more minutes than you have left. While you have no minutes available, you also can't open your transcript history in the app. You can't buy extra minutes.
- Failed payments. If a payment fails, including a charge for a plan change, you can't use the app until the payment goes through. That includes opening your transcript history. Our payment processor may retry the charge. You can also update your card and retry the payment in the app.
5. Cancelling
You can cancel at any time in the app, on the Settings page, or through Billing, the link in the app's sidebar that opens our payment processor's billing page. Your plan stays active until the end of the billing period you've paid for, and you keep any minutes left until then. We won't charge you for later periods unless you resume your plan or change it before it ends. Except under the Ray-Fund Guarantee in section 7, we don't refund the rest of a period after you cancel.
When your plan ends, you can no longer open, download, or delete your transcripts in the app. Download anything you want to keep before then, while your plan is active and has minutes available.
6. Changing plans
You can upgrade, downgrade, or switch between monthly and yearly billing in the app. A change takes effect right away. We adjust what you pay to account for the unused time on your current plan. You may be charged an amount right away, get a credit toward future payments, or both. A lower-priced plan's limits apply as soon as you switch. If a plan-change charge fails, section 4 explains what happens.
If you've already cancelled, a change doesn't restart automatic renewal, and your plan still ends. Any credit stays on your account.
7. Ray-Fund Guarantee (refunds)
- In this section, "plan" means Starter or Creator. Monthly and yearly billing of the same plan count as one plan.
- Email us at helpneeded@raytranscribes.com within 30 days after your first Starter payment, or within 60 days after your first Creator payment, and we'll refund in full every payment you made for that plan within that window. You don't have to give a reason.
- The window counts from the date of your first payment for that plan. Switching between monthly and yearly billing doesn't start a new window.
- If you move from Starter to Creator, your Creator window starts with your first Creator payment.
- Your refund goes back to the card you paid with.
- Outside the guarantee, payments aren't refundable, except where the law requires a refund. Plan-change credits (section 6) are credits, not refunds.
8. Free trials
We sometimes offer free trials by invitation. A trial doesn't need a card and doesn't turn into a paid plan by itself. When the trial ends, your access ends unless you subscribe, and you can no longer open your transcripts in the app.
9. Your content
- You own the audio, video, and other material you upload, and the transcripts and other results made from it ("your content"). We don't claim ownership of your content.
- You give us permission to store, copy, process, and send your content, including to our service providers, only as needed to run, support, secure, and improve the Service and to meet our legal obligations.
- You're responsible for having the right to upload your content. You're also responsible for getting any consent the law requires to record and transcribe it. That includes the consent of the people who are recorded. We don't get that consent for you.
- We delete audio you upload in the web app 3 days after upload. We delete transcripts and subtitles automatically on the schedule in our Privacy Policy. Other rules apply to API transcript requests. Card-redaction accounts, which include every enterprise account, have uploaded audio deleted sooner. Download what you want to keep while your plan is active and has minutes available. Our Privacy Policy gives the full schedule.
- While your plan is active and has minutes available, you can delete any transcript yourself. You can also ask us to delete your account.
10. Acceptable use
Don't use the Service to:
- upload content that breaks any law or regulation;
- process copyrighted material you don't have the right to use;
- harass, threaten, or discriminate against anyone;
- reverse engineer, hack, overload, or compromise our systems, or get around usage limits;
- access anyone else's account or data;
- upload malware, viruses, or other harmful code;
- share your account credentials with others; or
- do anything else illegal or unauthorized.
11. The API
If you use our API, keep your API keys secret. We may limit how often you can make requests. We may suspend a key that is used in a way that harms the Service or other users. A webhook address you give us receives your finished transcripts, including their text, so use only addresses you control. Our Privacy Policy describes how long we keep API results.
12. Card-number redaction
Some accounts have card-number redaction. To find card numbers, we may send transcript text to an AI language model provider before we replace them. Redaction replaces the card numbers, expiry dates, and security codes our detection finds. Detection can miss a number. Redaction alone doesn't make your use of the Service meet any law or card-industry security standard.
13. Our intellectual property
The Ray Transcribes service, technology, and branding belong to us. Don't copy, modify, or distribute our technology. The results we make for you are yours to use (section 9).
14. Availability
We aim to keep the Service available, but we can't promise it will always be up. Processing times are estimates and can vary with demand. Maintenance can make the Service unavailable for a while. Accuracy depends on audio quality and content.
15. Disclaimer of warranties
EXCEPT FOR THE RAY-FUND GUARANTEE IN SECTION 7, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT TRANSCRIPTS WILL BE ACCURATE OR COMPLETE.
16. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, USE, OR GOODWILL, INCLUDING DAMAGES CAUSED BY TRANSCRIPTION ERRORS, SERVICE INTERRUPTIONS, OR THIRD PARTIES. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM.
17. Indemnification
You agree to indemnify and hold us harmless from claims, damages, losses, and expenses arising from your use of the Service, your content, your breach of these Terms, or your violation of anyone else's rights.
18. Suspension and termination
- We may suspend or close your account if you break these Terms, don't pay, or use the Service in a way that could harm us, other users, or anyone else.
- You can stop using the Service at any time. Cancel your plan (section 5) and, if you want, ask us to delete your account.
- When your account closes, your right to use the Service ends. We delete your content on the schedule in our Privacy Policy. Sections 7 (for refund requests made before the account closed), 9, 13, and 15 to 19 survive.
19. Governing law and disputes
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law rules.
20. Changes to these Terms
We may update these Terms. We'll post the new Terms on this page and update the date at the top. If you keep using the Service after a change takes effect, you accept the new Terms.
